Can I claim a loss on employee shares that vested below their tax value?
Can I claim a loss on employee shares that vested below their tax value?

Direct answer
Possibly. SARS says a gain or loss from the vesting of an employment-related equity instrument must be included in, or deducted from, income for the relevant year of assessment. For a non-disposal vesting event, the loss is generally the consideration paid for the instrument less its market value at vesting. On a disposal, the loss is generally consideration paid less the amount received or accrued on disposal.
This is not a general claim for an investment loss. The instrument, employment connection, restrictions, vesting event, consideration and valuation must be established first.
What this means in practice
Employee share plans often use the word "vesting" for several different events. SARS's section 8C framework concerns an equity instrument acquired through employment or office, including a restricted equity instrument. The result is not determined solely by whether a share price later went down.
For an unrestricted instrument, SARS says vesting occurs when the employee acquires it. For a restricted instrument, it can occur when restrictions cease, before certain disposals, when an option terminates, or at certain disposal, release, abandonment or lapse events. The date and value at that event matter. A later sale can also bring separate capital-gains considerations that should not be mixed with the section 8C income result.
Your employer must generally handle a section 8C vesting gain through a directive and certificate process. A claimed loss needs equally careful evidence. Do not edit a prepopulated return entry to force a loss result where the employer's certificate, plan records and valuation do not agree.
Step-by-step
- Get the plan and grant documents.
Keep the plan rules, grant letter, option agreement, restrictions, consideration terms and all amendments. These show whether section 8C may apply.
- Identify the relevant event.
Record the date restrictions ended, the option terminated, the instrument lapsed or you disposed of it. Do not use the grant date or later sale date without checking the plan terms.
- Gather value evidence.
Retain the employer valuation, share-price information, sale confirmation and calculation of consideration paid. A headline media price may not be the relevant market value for an unlisted instrument.
- Check the employment and restriction facts.
Confirm that the instrument was acquired through employment or office and whether it was restricted. Connected-person or non-arm's-length disposals can have special results.
- Compare payroll records.
Keep the directive, payslip and IRP5 or IT3(a). Ask the employer or plan administrator to explain a mismatch rather than changing source data yourself.
- Get specialist review before filing.
A tax adviser can test the section 8C formula and separate any later capital-gains result. Retain the final ITR12 and assessment with the plan file.
Documents and records to keep
- Plan rules, grant and restriction terms.
- Consideration and payment records.
- Valuation, vesting, lapse or sale records.
- Directive, payslip and IRP5 or IT3(a).
- ITR12, assessment and correspondence.
Important limits and exceptions
The SARS guide describes the legal formula but this article does not calculate your loss. A section 8C loss is not the same as a later share-sale capital loss. A plan may also involve replacement instruments, trust arrangements, non-arm's-length transactions or events that change the normal timing.
Do not assume that every employee share is restricted, or that a fall in market price is enough. The plan documentation and actual vesting event remain central.
When to get tailored advice
Get tailored advice where shares are unlisted, the plan uses a trust, you left employment, options lapsed, or your certificate does not match the plan administrator's calculation.
TaxProof can help organise the plan, valuation and certificate documents for a specialist review. We cannot value shares or determine a section 8C result without complete evidence.
